By accessing or using the Node platform, website, and related services (collectively, the "Services") operated by Node Live Inc. ("Node," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
Node provides a technology platform that connects brands, sellers, creators, and marketplaces within the live commerce ecosystem. Our Services include, but are not limited to, waitlist registration, referral programs, inventory management tools, fulfillment coordination, and related logistics infrastructure. The Services are subject to change, and we reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
To access certain features of the Services, you may be required to register for an account or join our waitlist. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
Node may offer a referral program that allows users to invite others to join the platform. Participation in the referral program is subject to the Official Rules, which are incorporated herein by reference. Node reserves the right to modify, suspend, or terminate the referral program at any time. Any rewards or prizes associated with the referral program are subject to availability and the Official Rules.
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable laws; (b) submit false, misleading, or fraudulent information; (c) attempt to manipulate the referral program through fake accounts, automated submissions, or other deceptive practices; (d) interfere with or disrupt the Services or servers connected to the Services; (e) collect or harvest any personally identifiable information from the Services; or (f) use the Services in any manner that could damage, disable, or impair the Services.
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Node or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content from the Services without our express written permission.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NODE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.
You agree to indemnify, defend, and hold harmless Node and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
